Creating an enterprise of any form of incorporation has its own nuances that require careful preliminary study. A closed joint-stock company is a legal entity in which the authorized capital consists of a number of shares. All of them must have the same par value. When you create a closed joint-stock company, it is important to remember that in the Republic of Belarus the requirements for the minimum size of the authorized capital are approved on the legislative level. It must be at least 100 base values. It takes 12 months to form an authorized capital since the state registration of a legal entity.
The maximum allowable number of participants in a company is 50 people. When new participants appear and the permissible maximum is exceeding, the CJSC should be reorganized into a PJSC.
If the only one participant remains in the CJSC, such a company should also be reorganized into a unitary enterprise.
The main governing body is the meeting of shareholders, it should include all participants.
CJSC registration provides founders with a certain level of anonymity and confidentiality. Data on them does not have to be entered in the Unified State Register.
Stage 1. To draw up and conclude an agreement on the establishment of a closed joint-stock company.
This document prescribes the membership, features of shares, their par value, as well as the way of their distribution among participants.
Stage 2. To approve the name of a legal entity at the registering authority
This process can be carried out both on a basis of a written inquiry (in a hard or soft copy) and by personal appeal to the appropriate authority.
Stage 3. To hold a constituent assembly
Within the framework of this meeting, the charter and corporate structure of a legal entity are approved, and a decision on the issue of shares is made.
Stage 4. To submit registration documents
The main documents for the registration of a legal entity consist of an application for registration, two copies of the charter, a receipt on payment of the official fee.
Step 5. To obtain registration documents and to open a bank account
Despite the fact that there is no deadline for opening an account, the company cannot operate without it. In addition, by the time an account is opened, a head should already have the seal of a company.
Stage 6. To register shares at the government securities agency
The registration of shares should be done within 2 months from the date of registration of the company.
