Creation of a Representative Office

According to article 51-1 of the Civil Code foreign entities have a right to open a representative office on the territory of the Republic of Belarus.

The main authority responsible for registration of a representative office

You should submit an application in a standard format to the Region Executive Committee or to the Minsk City Executive Committee depending on the expected location of the representative office. Representative office is opened after getting a permission from the Executive Committee, which is issued after reviewing the application.

An application fee for the reviewing procedure should be paid.

Decision lead time

The decision is made within 30 days from the date of an application submission. Simultaneously, it is possible to extend the specified period to two months.

License term

License is valid for 3 years and can be extended for the same period.

May the Executive Committee refuse to open a representative office?

Yes, there is a list of grounds for refusal. The Executive Committee may refuse to open a representative office if counterfeit or invalid documents were enclosed to the application, or if false information was provided.

Another reason for refusal can be any objections from government bodies, as well as the information about an existing representative office of a foreign organization, which at the time of submitting an application was in the process of termination of activity. Further, the purpose of opening a representative office should not contradict the purposes established in law.

What are the actions to take after obtaining a permission?

After obtaining a permission, you need to register a representative office in such State Bodies as the Ministry of Taxes and Duties of the Republic of Belarus, the Social Protection Fund, Belarusian Republican Unitary Insurance Company "Belgosstrakh", as well as open a bank account.

Further, within a month, you should report on the above actions to the Executive Committee that issued the Permission, and provide information on the personnel schedule and contact information of the representative office.

When opening a foreign representative office, you should pay attention to the proper execution of documents that will be submitted to the Executive Committee and other State Bodies. If they are written in a foreign language, they must be translated into one of the state languages ​​of the Republic of Belarus. The accuracy of the translation or the authenticity of the signature of the translator must be notarized. Documents that have been issued or certified in a foreign state must be legalized, unless otherwise follows from international treaties of the Republic of Belarus.
