What is a private unitary enterprise?

The founder of such a legal entity is not liable for the obligations and debts of the business. Among other important advantages of this legal form, is a possibility to register a PUE in a dwelling (for example, in the apartment where the founder lives), as well as the lack of requirements regarding the minimum size of the authorized capital.

In order to open a PUE, you do not have to be a new legal entity; it can be created as a result of the reorganization of another legal entity.

This can be done both by a personal appeal to the registration authority, and remotely by mail or through the electronic portal of the Unified State Register. It is important to remember a number of requirements that apply to the names of a PUE.

To register a PUE in Minsk or another region of Belarus, you can choose both office unit and residential unit for its placement.

·         To draw up a Charter.

This step is required to create a company of any type. Based on the Charter, the registration of the PUE will be carried out.

·         To make a decision to open a PUE and to form its authorized capital

As noted above, the founder of a PUE can be only one natural person or legal entity, respectively, the decision on the formation of the authorized capital is taken by sole authority. The formation of the authorized capital is allowed after the state registration of the enterprise.

·         To pay the official fee and submit documents to the registration authority.

The main documents that should be prepared in advance are the application, the form of the founder, copies of the Charter (on paper and electronic media), and a receipt on payment of the official fee. If the founder is a foreign legal entity, additional documents may be required.

·         To obtain registration documents.

After the registration of the PUE, it is necessary to solve a number of issues related to opening a bank account, making a seal, personnel appointments and registering a legal entity at tax authorities, an insurance company and the Social Protection Fund.
